Terms of Use

Please read these Terms carefully. They govern use of the public OpenKM Hub website. A signed customer agreement, proposal, or order governs purchased subscriptions and professional services.

1. Introduction and Acceptance of Terms of Use

OpenKM USA LLC. ("OpenKM," "we," "us," or "our") provides this website, its content, communication tools, forms, and information about OpenKM products and services (collectively, the "Website"). By accessing or using the Website, you agree to these Terms of Use. If you do not agree, do not use the Website.

We may update these Terms from time to time by posting a revised version and effective date. Your continued use after an update constitutes acceptance of the revised Terms. We may suspend or terminate access to the Website when reasonably necessary to protect OpenKM, users, systems, or legal interests.

2. Limited Right to Use

OpenKM grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for lawful business evaluation and communication with OpenKM. You may not copy, modify, distribute, scrape, reverse engineer, interfere with, bypass security for, or commercially exploit the Website except as permitted by law or with our written authorization.

Website materials do not grant a license to OpenKM software. Software subscriptions, maintenance, support, implementation, training, consulting, integrations, migration, customization, and other professional services are governed by the applicable written agreement, proposal, or order.

3. Communications and Submitted Information

When you submit a form, send an email, use a website assistant, or otherwise communicate with us, you represent that the information is accurate and that you are authorized to provide it. You consent to receiving responses related to your inquiry, request, account, or business relationship.

Do not submit confidential, regulated, export-controlled, privileged, or sensitive production content through a general website form. Business requirements shared during an inquiry do not create a confidentiality obligation unless a separate written confidentiality agreement applies.

4. Accounts and Secured Areas

You are responsible for safeguarding usernames, passwords, authentication methods, and activity performed through your credentials. You must notify OpenKM promptly of suspected unauthorized access. You may not access another person’s account or any restricted area without authorization.

5. Subscriptions, Trials, and Professional Services

Website plan descriptions and estimates are informational and do not constitute acceptance of an order. Availability, pricing, user minimums, usage limits, setup fees, taxes, billing terms, renewal terms, and scope must be confirmed in the applicable order or agreement. Unless otherwise stated in writing, subscriptions require a 12-month commitment, whether billed monthly or prepaid annually, and non-renewal must be provided at least 30 days before the end of the term.

Support covers eligible product incidents and general use questions within the applicable plan. Training, advanced configuration, workflow analysis or design, migration, integrations, customization, development, technical analysis, project management, consulting, and customer-requested restoration work are professional services quoted separately unless expressly included in writing.

Trials, demonstrations, estimates, OCR results, AI outputs, and preview functionality are provided for evaluation. Results depend on configuration, source quality, third-party services, and validated requirements. No website statement guarantees a specific technical, legal, compliance, accuracy, implementation, or business outcome.

6. Acceptable Use

You may not use the Website or any service to violate law; infringe rights; distribute malware; attempt unauthorized access; disrupt service; send spam; impersonate others; process unlawful content; or test system vulnerability without written authorization. Customer use of OpenKM services must comply with applicable law, contractual limits, third-party provider terms, and reasonable security requirements.

7. Links and Third-Party Services

The Website may link to third-party websites or rely on third-party hosting, communications, payment, OCR, artificial intelligence, or other services. Third parties control their own terms, privacy practices, availability, charges, and performance. A link or integration does not imply endorsement or make OpenKM responsible for third-party content or services.

8. Intellectual Property and Trademarks

The Website, its original content, design, text, graphics, and related materials are owned by or licensed to OpenKM and protected by applicable intellectual property laws. OpenKM names, logos, product names, and related marks may not be used without authorization. Other names and marks belong to their respective owners.

9. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OPENKM DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OPENKM DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, OR CURRENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENKM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM WEBSITE USE. FOR CLAIMS RELATING ONLY TO THIS FREE PUBLIC WEBSITE, OPENKM’S AGGREGATE LIABILITY WILL NOT EXCEED US$100. Limits applicable to paid services are stated in the governing agreement. Some jurisdictions do not allow certain exclusions, so portions of this section may not apply.

11. Applicable Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to any different written agreement, disputes relating to the Website will be brought in the state or federal courts with jurisdiction in Florida, and each party consents to that jurisdiction. Nothing prevents OpenKM from seeking urgent injunctive relief to protect security or intellectual property.

12. General and Contact

If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent. These Terms and any applicable signed agreement form the complete understanding for their respective subject matter.

These general terms may be supplemented or superseded by a signed proposal, order, agreement, subscription agreement, or addendum. If there is a conflict, the applicable signed document will control.
